Terms of Service
These Terms of Service ("Terms") govern your use of Semantic Modeler and semanticmodeler.com, operated by Fact Foundry LLC ("Fact Foundry", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By downloading, installing, or using Semantic Modeler, or by visiting semanticmodeler.com, you agree to these Terms. If you do not agree, do not use our services.
2. Description of Service
Semantic Modeler is a desktop application for building, editing, and managing semantic models for Microsoft Fabric, Power BI, and Analysis Services. It is available for Windows, macOS, and Linux.
Access to Semantic Modeler is provided via subscription license. A free 30-day trial is available with no account required.
3. Accounts and Licenses
Personal Licenses: Personal licenses are for individual use only. You may activate your license on up to 2 machines. You may not share your license credentials with others.
Commercial Licenses: Commercial licenses are for business use and include a defined number of seat activations. License managers are responsible for ensuring compliance with seat limits within their organization.
Trial: The free trial is limited to one trial per machine. Circumventing trial restrictions is prohibited.
4. Payment and Billing
Payments are processed by Paddle, our Merchant of Record. Paddle handles all billing, invoicing, tax collection, and payment processing. By purchasing a subscription, you agree to Paddle's terms of service at paddle.com/legal.
Subscriptions automatically renew at the end of each billing period unless cancelled prior to the renewal date. You may cancel your subscription at any time through the self-service portal.
5. Refunds
Please refer to our Refund Policy for full details. All sales are final. No refunds are issued except where required by applicable law.
6. Intellectual Property
Semantic Modeler and all related content, features, and functionality are owned by Fact Foundry LLC and are protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to use Semantic Modeler in accordance with these Terms and your subscription plan. You may not:
- Copy, modify, or distribute the software
- Reverse engineer or decompile the software
- Remove or alter any proprietary notices or labels
- Use the software to build a competing product
7. Microsoft Trademarks
Semantic Modeler is not affiliated with or endorsed by Microsoft Corporation. Microsoft Fabric, Analysis Services, Power BI, and Microsoft Entra ID are trademarks of Microsoft Corporation. Use of these names is for descriptive purposes only.
8. Disclaimer of Warranties
Semantic Modeler is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the software will be error-free, uninterrupted, or free of harmful components.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Fact Foundry LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of or in connection with your use of Semantic Modeler.
Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Fact Foundry LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of your use of our services or your violation of these Terms.
11. Termination
We reserve the right to suspend or terminate your access to Semantic Modeler at any time if you violate these Terms. Upon termination, your license to use the software immediately ends.
You may terminate your subscription at any time through the self-service portal. Termination does not entitle you to a refund.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Missouri.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Continued use of our services after changes constitutes acceptance of the updated Terms.
